These Terms of Service (“Agreement”) form a legally binding contract between Auditless Limited, a company incorporated in England and Wales with company number 11720248 (“Auditless”), and the customer entity identified in the Booking Confirmation ("Customer").
By booking or otherwise engaging Auditless’s services, the Customer accepts and agrees to be bound by these terms. The individual accepting these Terms on behalf of the Customer warrants that they are an authorised representative of the Customer entity. If the Customer does not agree to these terms, the Customer may not access or use the services, and any ongoing engagement shall immediately cease, save for obligations that expressly survive termination, including payment for services rendered.
An engagement becomes binding when the Customer completes the booking and payment process and Auditless sends an electronic booking confirmation. The booking confirmation will identify the Customer, selected Service Plan, Deliverables, fees, Start Date, Service Period, and any additional assumptions applicable to the engagement. The Customer shall notify Auditless within five (5) Business Days of receipt if any detail in the Booking Confirmation is incorrect, failing which the Booking Confirmation shall be conclusive as to the matters it records.
Auditless may decline or cancel a booking before the Start Date where reasonably necessary due to a scheduling error, conflict of interest, legal or sanctions-related concern, or manifest error in the service description or pricing. In that event, Auditless will promptly refund all fees paid for the affected booking and shall have no further liability in respect of the cancellation.
In this Agreement:
"Booking Confirmation" means the electronic confirmation issued by Auditless to the Customer following completion of the booking and payment process, which identifies the Customer, the selected Service Plan, the Deliverables, the fees, the Start Date, the Service Period, and any additional assumptions or terms applicable to the engagement.
"Business Day" means any day other than a Saturday, Sunday, or public holiday in England.
"Project Scope" means the document supplied by Auditless to the Customer before booking a Custom Project which sets out the project-specific scope, deliverables, timetable, assumptions, and exclusions.
"Revision" means one consolidated round of written feedback on a draft Deliverable, submitted through the designated communication channels within the applicable feedback period, together with the revised draft Auditless issues in response. Feedback that materially changes the agreed scope, objectives, or audience of a Deliverable is not a Revision and may be treated as a change request.
"Service Period" means the period during which Auditless will perform the services for an engagement, being six (6) weeks from the Start Date for a Narrative Sprint, or the period stated in the Project Scope or Booking Confirmation for a Custom Project. Unless Auditless agrees otherwise in writing, the Service Period is fixed and is not extended by delay on the part of the Customer or by any rescheduling of individual delivery dates within it.
"Service Plan" means the Narrative Sprint, Custom Project, or any other service offering described in Section 2 or in a Booking Confirmation.
"Start Date" means the date on which the Service Period begins, as stated in the Booking Confirmation or otherwise agreed in writing. If the Customer has not supplied the materials, access, or information reasonably required for Auditless to begin work by the Start Date, the Service Period nonetheless commences on the Start Date.
Auditless provides the following services, available as selected by the Customer at the point of purchase:
Narrative Sprint.
A 6-week narrative design engagement, tailored to provide market analysis, strategic positioning, and narrative development. This service is intended for teams seeking investor presentations, founders planning pivots or launches, and projects aiming to refine their market presence. Deliverables will be either a long-form memorandum or a pitch deck as mutually agreed. Deliverables will include key findings and recommendations. Up to three Revisions are included, provided Customer supplies feedback within three (3) Business Days of delivery of each draft.
Custom Project.
A bespoke engagement to provide the services and deliverables described in a Project Scope supplied to the Customer before booking. The applicable Project Scope forms part of this Agreement and sets out the project-specific scope, deliverables, timetable, assumptions, and exclusions. If there is any inconsistency, the Project Scope shall prevail only in relation to those project-specific matters, and this Agreement shall otherwise prevail.
Any services or deliverables not expressly included in the applicable Project Scope are outside the scope of the Custom Project. Requests, feedback, or discussions shall not amend the Project Scope unless agreed in writing. Any agreed change may result in additional fees and a revised timetable.
